At our site in Charleston, we are currently looking for an ​Commercial Attorney​ to join our growing team.

 

Job Responsibilities

 

This position is responsible to provide legal counsel for the Company’s North and Central America region with a focus on commercial, regulatory and infrastructure matters.

  • Provide the necessary legal support for large and complex projects, simultaneously managing multiple tasks and subprojects effectively
  • Provide legal support in drafting, reviewing and negotiating international and domestic commercial agreements. Examples may include purchase and supply contracts; vendor buying agreements; sales representation agreements; distribution agreements; master sales and service agreements; leases; non-disclosure agreements; and license agreements. Provide support regarding contract interpretation and guidance, including related to disputes
  • Provide legal support and analysis on compliance and regulatory matters
  • Provide legal support and guidance on non-disclosure agreements
  • Provide legal support and guidance on bankruptcy matters • Cost-effectively partner with and manage outside counsel as necessary
  • Keep legal and leadership teams apprised of major developments in ongoing matters
  • Assist in developing and overseeing the implementation of legal and corporate policies and procedures with members of the leadership team
  • Support the Legal Department attorneys in advising on other legal issues as they may arise as well as close cooperation with the German Legal team.

 

Qualifications

  • J.D. degree from a top-rated, accredited U.S. law school and licensed to practice in at least one U.S. state
  • Minimum 6 years of legal experience, including at least 3 years as in-house counsel; manufacturing and/or chemical industry experience preferred
  • Sound business and legal judgment required; experience with negotiation of complex commercial contracts; regulatory knowledge experience in chemical industry preferred
  • Works closely with teammates as a critical member of a small working group
  • Detail-oriented and able to prioritize and manage multiple projects and/or issues
  •  Excellent written and verbal communication skills
  • Capable of adapting to organizational culture and to assimilate into local, regional and global styles
  • Ability to multitask in a fast-paced environment
  • Ability to make decisions and the flexibility to quickly learn new areas of law where required
  • Ability to advise and interact with executives and business segment managers with confidence, and to analyze and translate legal principles into practical business solutions, as well as establish a rapport and working relationship with business managers
  •  Energetic, proactive, and decisive, with the ability to learn quickly, work independently, and influence others while maintaining highest level of integrity and professionalism
  • Working knowledge of Microsoft Office Suite – Outlook, Word, Excel and PowerPoint
  • Ability to travel as needed
  • The candidate must be a team player who will preserve the collegial atmosphere that currently exists within the Legal Department
